By accessing City Search and Merchant Terminal (the 'Service'), you enter into a legally binding agreement with City Search and its owners. These terms constitute a contract under the Laws of Kenya. If you are entering into this agreement on behalf of a business entity, you represent that you have the legal authority to bind said entity to these provisions. Continued use of the Service following any amendments constitutes an express acceptance of the revised terms.
All Merchants warrant that: (a) They are duly registered businesses or individuals aged 18 years and above; (b) All information provided regarding business location, contact details, and services is accurate and not misleading; (c) They shall not list goods or services that are prohibited under Kenyan law, including but not limited to counterfeit items, unauthorized pharmaceuticals, or regulated adult services. City Search reserves the unilateral right to suspend any listing that violates these warranties.
Access to premium directory features is subject to the payment of subscription fees as outlined in the Merchant Terminal. (i) Payments: All settlements are processed via Safaricom M-Pesa or authorized bank gateways; (ii) Non-Refundability: Given the digital nature of the advertisement service, all payments for Trial, Brass, Silver, or Gold tiers are final and non-refundable once the listing is broadcast; (iii) Arrears: Failure to settle renewal fees will result in the immediate 'Hidden' status of the business listing until the account is regularized.
The Service, including its proprietary search algorithms, QR code generation system, and user interface, remains the exclusive property of City Search and is protected by the Copyright Act (Cap 130) of Kenya. Merchants grant City Search a non-exclusive, royalty-free license to display their business logos and trademarks solely for the purpose of directory listing and platform promotion.
City Search serves as a neutral directory service and is not a party to any transaction between a Merchant and a consumer. To the maximum extent permitted by law, City Search shall not be liable for: (a) Any indirect, incidental, or consequential damages; (b) Disputes arising from the quality of goods or services provided by Merchants; or (c) Service interruptions due to third-party infrastructure failures (e.g., telecommunication network outages).
Either party may terminate this agreement at any time. Upon termination by the Merchant, all public-facing data will be removed from the active directory.
These terms shall be governed by and construed in accordance with the Laws of the Republic of Kenya. Any dispute arising from this agreement shall first be subjected to an amicable mediation process. Should mediation fail, the parties agree to the exclusive jurisdiction of the Courts of Kenya.
